Terms of Service

This document forms part of your agreement with 5 Kings Marketing. We keep it short, plain-English, and current. If anything here is unclear, email [email protected] and a real human will reply.

These Terms of Service (“Terms”) govern your access to and use of the website located at 5kingsmarketing.com and the digital marketing, SEO, AI marketing automation, lead generation, e-commerce development, and related consulting services (collectively, the “Services”) provided by 5 Kings Marketing (“5 Kings,” “we,” “us,” or “our”). By accessing the site or engaging us for Services, you agree to be bound by these Terms.

1. Use of the Site

You may use our site for lawful business and informational purposes only. You agree not to:

  • Use the site in any way that violates applicable federal, state, local, or international law or regulation
  • Attempt to gain unauthorized access to any portion of the site, other accounts, computer systems, or networks connected to the site
  • Use any robot, spider, scraper, or other automated means to access the site or copy content without our prior written consent
  • Transmit any viruses, malware, or other code of a destructive nature
  • Impersonate or attempt to impersonate 5 Kings, a 5 Kings employee, another user, or any other person or entity

2. Intellectual Property

All content on this site — including text, graphics, logos, icons, images, audio clips, video, downloadable resources, data compilations, software, and the compilation of all content — is the property of 5 Kings Marketing or its licensors and is protected by United States and international copyright, trademark, and other intellectual property laws.

The 5 Kings Marketing name, the “5” and crown logo, and all related names, logos, product and service names, designs, and slogans are trademarks of 5 Kings Marketing. You may not use such marks without our prior written permission. All other names, logos, product and service names, designs, and slogans on this site are the property of their respective owners.

You may view, download, and print content from the site for personal, non-commercial use, provided you keep all copyright and other proprietary notices intact.

3. Free SEO Audit

Our free SEO audit (available at /seo-audit/) is provided “as is” for informational purposes. By submitting the audit request form you agree to:

  • Provide accurate, current information about your business
  • Authorize us to crawl publicly available pages of the submitted website
  • Receive follow-up contact from a 5 Kings representative about your audit results
  • Receive occasional marketing communications related to your audit (you can unsubscribe at any time)

The audit does not constitute a binding offer to provide services, and we make no guarantees about specific ranking or traffic improvements. Audit delivery is typically 3–5 business days.

4. Services and Engagements

When you engage 5 Kings for paid services (SEO retainer, AI marketing automation setup, lead generation campaign, e-commerce development, etc.), the specific deliverables, timelines, fees, and performance commitments are defined in a separate written agreement (Statement of Work, Master Services Agreement, or signed proposal). That agreement governs in the event of any conflict with these Terms.

Unless otherwise specified in writing, all Services are provided on a best-efforts basis. SEO results, ad performance, and ranking improvements depend on many factors outside our control, including search engine algorithm changes, competitor activity, and market conditions.

5. Fees and Payment

  • Fees are stated in U.S. dollars and are exclusive of taxes unless otherwise noted.
  • Retainers are billed monthly in advance and are non-refundable once the billing period has begun.
  • One-time project fees are billed 50% on signing and 50% on completion, unless otherwise agreed in writing.
  • Past-due invoices accrue interest at the rate of 1.5% per month (18% APR) or the maximum rate permitted by law, whichever is less.
  • We reserve the right to suspend work on accounts with invoices more than 15 days past due.

6. Client Responsibilities

To deliver the Services you agree to:

  • Provide timely access to website admin accounts, Google Search Console, Google Analytics, ad accounts, and other platforms needed for service delivery
  • Respond to content reviews, approvals, and feedback requests within a reasonable timeframe (typically 5 business days)
  • Provide accurate information about your business, target audience, and goals
  • Comply with the terms of service of any third-party platform we work with on your behalf (Google, Meta, Bing, etc.)

Delays in providing required access or feedback may push back project timelines without penalty to 5 Kings.

7. Confidentiality

Each party agrees to keep confidential any non-public business, technical, or financial information disclosed by the other party during the engagement (“Confidential Information”). Confidential Information does not include information that is (a) publicly known through no fault of the receiving party, (b) rightfully received from a third party without restriction, or (c) independently developed. This obligation survives termination of the engagement for three (3) years.

8. Third-Party Tools and Integrations

Our Services may integrate with or recommend third-party tools (Mautic, SuiteCRM, Matomo, Google Search Console, Google Ads, Meta Ads Manager, etc.). Your use of any third-party tool is governed by that tool’s own terms and privacy policy. 5 Kings is not responsible for the availability, accuracy, or reliability of any third-party service.

9. Disclaimers

THE SITE AND SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY.

We do not warrant that the site will be uninterrupted, secure, or free of errors; that defects will be corrected; or that the site or servers are free of viruses or other harmful components.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, 5 KINGS MARKETING, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL) ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

In no event will our total cumulative liability for any claims arising under or related to these Terms exceed the greater of (a) the amount you paid us for Services in the twelve (12) months preceding the claim, or (b) one hundred U.S. dollars (US$100).

11. Indemnification

You agree to defend, indemnify, and hold harmless 5 Kings Marketing and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to (a) your use of the Services, (b) your violation of these Terms, or (c) your violation of any third party’s rights.

12. Termination

Either party may terminate a paid engagement according to the notice period specified in the applicable Service Agreement (typically 30 days). You remain responsible for fees incurred through the termination date. Upon termination we will deliver any completed work product and return or destroy confidential information per your instruction.

We may suspend or terminate your access to the site at any time, without notice, for conduct that we reasonably believe violates these Terms or is otherwise harmful to other users, us, or third parties.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-law principles. Any dispute arising out of or relating to these Terms that cannot be resolved informally within 30 days will be resolved exclusively in the state or federal courts located in Broward County, Florida. Both parties consent to the personal jurisdiction of such courts.

14. Accessibility

15. Severability

If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permitted by law and the remaining provisions will remain in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy and any executed Service Agreement, constitute the entire agreement between you and 5 Kings regarding your use of the Services and supersede all prior agreements, communications, and proposals (oral or written) on that subject.
